Ausgold shares in focus after OceanaGold's $776m takeover offer

Yesterday, Ausgold Ltd (ASX: AUC) announced a recommended scheme of arrangement under which OceanaGold Corp (TSE: OGC) will acquire 100% of Ausgold, valuing each Ausgold share at an implied A$1.36 and the total company at approximately A$776 million. Ausgold shareholders stand to receive an attractive upfront premium and retain ongoing exposure to the Katanning Gold Project as part of the expanded OceanaGold Group.

What did Ausgold report?

  • OceanaGold to acquire 100% of Ausgold for scrip (0.03365 OceanaGold shares per Ausgold share) or cash, with a maximum cash pool of A$194 million (25% of equity value).
  • Implied offer price of A$1.36 per Ausgold share, a 28% premium to last closing price, 35% to 10-day VWAP, and 44% to 20-day VWAP.
  • Katanning Gold Project to add 2.44Moz of resources and 1.33Moz reserves, targeting 120,000 ounces average annual gold production over a 10+ year mine life.
  • Combined OceanaGold Group to have a market cap of around US$6.9 billion, with Ausgold shareholders to own up to 7.9% of the group.
  • Ausgold's Board and major shareholder Dundee Corporation (7.7%) unanimously support the scheme in the absence of a superior proposal.

What else do investors need to know?

The transaction gives Ausgold shareholders the chance to elect either scrip or up to 100% cash consideration, subject to the maximum cash pool, providing flexibility and liquidity. If cash elections exceed the pool, shareholders will receive a scaled mix of cash and OceanaGold shares. Ineligible foreign shareholders and small parcels will be managed through nominee sale facilities.

The scheme is subject to regulatory and court approvals, plus an independent expert's conclusion that the deal is in shareholders' best interests. An indicative timetable sees dispatch of the Scheme Booklet expected in late October 2026, and the shareholder meeting to approve the deal in late November. Implementation is targeted for December 2026, barring any delays.

What did Ausgold management say?

Ausgold Executive Chairman John Dorward said:

This is a highly attractive combination which we believe represents a compelling outcome for Ausgold shareholders, delivering an upfront premium while retaining ongoing exposure to the Katanning Gold Project as part of a larger, diversified OceanaGold gold and copper portfolio… We look forward to working with OceanaGold to implement the Transaction.

What's next for Ausgold?

Ausgold shareholders will soon receive a Scheme Booklet detailing the offer and their options. The Board recommends voting in favour, subject to no better offer or negative expert view. If approved and implemented, shareholders will swap their Ausgold shares for OceanaGold scrip or cash, gaining exposure to a broader portfolio, and the Katanning project will benefit from OceanaGold's development and operating expertise.

The deal must still clear several regulatory and court hurdles. Shareholders don't need to do anything until receiving further details and the voting instructions.
