What did Ingenia Communities Group report?
- Received a non-binding, indicative acquisition proposal from AVID Property Group at $5.35 per stapled security in cash.
- Potential total cash return to securityholders up to $5.40 per security, including a permitted distribution of $0.05.
- The proposal is fully funded and not subject to a financing condition.
- Conditional on due diligence, board support, regulatory approvals, and termination of the existing Peet Limited agreement.
- Ingenia has granted AVID a period of up to six weeks of "soft" exclusivity.
What else do investors need to know?
AVID's proposal is non-binding and subject to several conditions. The company must complete satisfactory due diligence, and Ingenia's board must unanimously recommend the offer (assuming there is no superior deal and that an independent expert finds it to be in securityholders' best interests). Regulatory approvals, including from the Foreign Investment Review Board (FIRB) and Australian Competition and Consumer Commission (ACCC), are also required.
Ingenia has signed a process deed granting AVID a period of "soft" exclusivity, meaning certain competitive provisions remain subject to fiduciary duties. Ingenia's agreement with Peet Limited is still in place, and the board has not declared AVID's proposal as superior or recommended it at this stage. Ingenia has ended Warburg Pincus' access to its due diligence data room as part of this process.
What's next for Ingenia Communities Group?
Ingenia will allow AVID to undertake due diligence and negotiate in good faith toward a binding implementation deed. This six-week exclusivity period gives AVID the opportunity to formalise its proposal, but leaves Ingenia free to respond to superior bids in the interests of its securityholders.
There's no guarantee the AVID proposal will turn into a binding offer or a completed transaction. Ingenia remains committed to keeping investors updated and continues to work with Peet Limited on its prior agreement.
