Mr Hawksworth has over 18 years Chief Executive experience in regulated utility and infrastructure businesses across New Zealand and Australia, having recently served as Chief Executive of Mercury Energy, and prior to that of Trustpower New Zealand. He is in infrastructure investment, management of customer bases, and people and culture leadership. Vince is currently a director on the Board of Powerco, a Board Trustee of the Starship Foundation, and an Advisor to Datagrid New Zealand. Vince will be a member of the Human Resources and Compensation Committee (HRCC).

Ms Smyth has experience in governance, mergers and acquisitions, taxation and financial performance of large corporate enterprises, as well as actively investing in small and medium enterprises (SMEs). Her background is in finance and business management, having been a Partner with Deloitte and Group Finance Director at Lion Nathan. She is currently Chair of The Breast Cancer Foundation New Zealand and is a former director of Auckland International Airport Limited. In 2020 Justine was appointed a Companion of the New Zealand Order of Merit for services to women and governance. She is chairman of the Corporate Governance Committee and Member of Human Resources and Compensation Committee and Ex Officio Member of Audit & Risk Management Committee.

Ms Hodson is an advocate for diversity and inclusion, digital equity, and the role of technology in enabling Aotearoas transition to a high productivity, low carbon economy. She is a member of Global Women, a Champion for Change, and a founder of OnBeingBold. She is a member of the Climate Leaders Coalition Steering Committee, including two years as the Convenor, uniting New Zealand businesses. In 2024 she was recognised in the Kings Birthday Honours as a Member of the New Zealand Order of Merit for services to business, governance, and women.

Mr Robbiati is a global telecommunication, technology and financial services. He has a commercial background, and strategic knowledge of the telecommunications industry, having held executive roles at several global telcos, including as Chief Financial Officer (CFO) at Sprint Corporation, and Group Managing Director at Telstra International Group. Tarek is currently CFO at NYSE listed Pure Storage, and a director on the Board of Digicel (as ARMC Chair). His listed company governance experience includes serving on the Boards of TelstraClear New Zealand, Hewlett Packard Enterprise Financial Services, CSL Limited Hong Kong, and Australia-Japan Cable Limited Bermuda. Tarek will be a member of the ARMC.

Mr Bray has over four decades of experience in the international telecommunications, technology and media sectors, most recently in senior executive roles at Telstra. During his nine years at Telstra up until 2018, his executive roles comprised Chief Financial Officer, Group Managing Director Product, Executive Director Mobile and Head of Corporate Strategy. Earlier in his career, he was a managing director at JP Morgan (London) and Dresdner Kleinwort Wasserstein (London) in telecommunications equity research. He also worked at McKinsey in Europe, advising telecommunications companies on strategy, regulation and operational improvement, and as a network systems engineer at Hewlett Packard. He has served on the GSMA strategy committee, the boards of Hong Kong mobile business CSL and Australian pay TV operator Foxtel and as Chairman of the Australian Mobile Telecommunications Association. He is Member of Risk Management and Corporate Governance Committee.

Mr Havercroft has skills and experience from a career in the technology industry that has spanned more than 35 years. He was previously at Spark New Zealand (then Telecom) from 2009, where he held several roles including Chief Operating Officer and Chief Technology Officer, until 2017. Over the years, he has also held executive and management positions in IBM Asia Pacific, Cable & Wireless and BT. He is currently a Director of KiwiWealth and Westpac New Zealand and was formerly a director of Kordia. Following his departure as a Spark executive in 2017, he provided consultancy services to Spark. Over the course of his engagement this included advisory services to the Spark Board and acting as the shareholder representative director on material Spark joint venture companies Southern Cross and Connect 8. He is Chairman of Human Resources and Compensation Committee and member of Nominations and Corporate Governance Committee.

Ms Nelson is a finance and business development executive with 25 years of global operating experience across the financial services, software and technology industries. She most recently served as Managing Director of M12, Microsofts venture fund, which she co founded. Prior to that, she held various executive roles at Microsoft spanning business development, investor relations, strategy, financial reporting, and accounting. Through her diverse experience with startups and Fortune 500 companies, she developed expertise in business growth strategies, scaling businesses effectively, managing risks in complex environments, and leading through change. She currently serves as a full time board director and strategic advisor. Her current governance appointments include Astra Space, Destiny Tech 100, Seattle Bank, and Banqer, a New Zealand based edtech startup. Her advisory roles include several early stage tech startups and ventures funds around the world, including Movac in New Zealand. She is member of Human Resources and Compensation Committee, Audit and Risk Management Committee and Nominations and Corporate Governance
Committee.
