What did Steadfast Group report?

  • Consortium proposal to acquire 100% of Steadfast at $6.00 per share in cash (less any dividends/distributions post 5 June 2026)
  • Kohlberg Kravis Roberts & Co. L.P. (KKR) joined as co-lead investment partner with Dragoneer for Steadfast's retail brokerage business
  • Due diligence by the consortium is in final stages; key commercial terms of draft agreement are substantially agreed
  • Exclusivity period now extended to 21 August 2026
  • No binding agreement has been reached yet

What else do investors need to know?

The Steadfast Board stressed that there is no guarantee the discussions will result in a binding agreement or a completed transaction. Shareholders don't need to take any action regarding the proposal at this stage.

Steadfast is Australia's largest general insurance broker network and has operations spanning Australia, New Zealand, Singapore and the USA, placing around $25 billion in gross written premium annually. The company also manages a portfolio of specialist underwriting agencies and operates an established Lloyd's broking arm.

Steadfast advised it will continue to update the market as further developments occur.

What's next for Steadfast Group?

The immediate focus for Steadfast and the consortium is finalising outstanding transaction documentation, completing due diligence, and obtaining required approvals by the new deadline of 21 August 2026.

Investors will be looking for further updates as the process nears completion, with the outcome determining if a binding agreement—at $6.00 per share—will be reached.

Steadfast Group share price snapshot

The Steadfast Group share price is down 17% over the past 12 months despite the takeover activity. This compares to a 4% gain by the S&P/ASX 200 index (ASX: XJO) over the same period.
