                                                                                            <content:encoded><![CDATA[<p><strong>Paladin Energy Ltd</strong> (<a class="tickerized-link" href="https://www.fool.com.au/tickers/asx-pdn/">ASX: PDN</a>) shares are falling on Wednesday.</p>
<p>In morning trade, the uranium producer's shares are down 3% to $11.44.</p>
<p>This follows the release of an <a href="https://www.fool.com.au/tickers/asx-pdn/announcements/2024-10-09/6a1230198/court-approves-plan-of-arrangement/">update</a> on its proposed acquisition of <strong>Fission Uranium Corp.</strong> (<a class="tickerized-link" href="https://www.fool.com.au/tickers/tsx-fcu/">TSX: FCU</a>).</p>
<p>Fission Uranium is the owner of the Patterson Lake South uranium property. It is a proposed high-grade uranium mine and mill in the Athabasca Basin region of Saskatchewan, Canada.</p>
<p>This is a great location to be in, with the Athabasca Basin consistently ranking as one of the world's top mining investment jurisdictions.</p>
<p>Fission Uranium notes that its Patterson Lake South project is backed by a feasibility study highlighting elite economic potential, making it one of the few projects advanced enough to enter production this cycle.</p>
<p>In June, Paladin Energy announced a deal to acquire Fission Uranium via an all-scrip deal. The two parties agreed on 0.1076 Paladin Energy shares per Fission Uranium, which was the equivalent of C$1.30 per Fission Share at the time. This represented an implied equity value of C$1,140 million (A$1,220 million).</p>
<h2>What's the latest?</h2>
<p>This morning, Paladin Energy was given a small boost in its quest to complete the deal for Fission Uranium.</p>
<p>It advised that Fission Uranium has obtained a final order from the Supreme Court of British Columbia approving the arrangement.</p>
<p>However, that doesn't mean a deal is done. Far from it. Unfortunately, the completion of the arrangement "remains uncertain" according to Paladin Energy, which may explain why its shares are falling today.</p>
<p>This is because it needs to also obtain Investment Canada Act (ICA) clearance, which may not be as easy as first thought.</p>
<p>Last week, Fission Uranium received a notice from the Minister of Innovation, Science and Industry ordering a national security review of the arrangement under section 25.3 of the ICA.</p>
<p>Paladin Energy and Fission Uranium advised that they are continuing to engage with the minister. But warned that "in light of the national security review of the Arrangement, there can be no certainty that Fission will be able to obtain ICA clearance in a timely manner or at all. Failure to obtain ICA clearance would prevent the Arrangement from being successfully completed."</p>
<p>This would be a big blow to Paladin Energy and its ambitions. Paladin advised that it will continue to keep the market informed of all material developments.</p>
<p>Paladin Energy's shares are down 25% over the past six months despite a recent (very strong) rally.</p>

<p>At the time of writing, the ASX 200 <a href="https://www.fool.com.au/investing-education/asx-uranium-shares/">uranium</a> stock is down 1% to $11.66.</p>
<h2>Why is the Paladin Energy share price rising?</h2>
<p>Investors have been selling the uranium producer's shares this morning following the release of an <a href="https://www.fool.com.au/tickers/asx-pdn/announcements/2024-10-02/6a1229015/update-on-investment-canada-approval/">update</a> on its proposed acquisition of <strong>Fission Uranium Corp</strong>. (<a class="tickerized-link" href="https://www.fool.com.au/tickers/tsx-fcu/">TSX: FCU</a>) by way of a plan of arrangement under the Canada Business Corporation Act.</p>
<p>It notes that completion of the deal remains subject to closing conditions, including receipt of a final order approving the arrangement from the Supreme Court of British Columbia and Investment Canada Act clearance.</p>
<p>Last week it announced that CGN Mining Company, a subsidiary of China General Nuclear Power Corp, which owns an 11.26% stake in Fission Uranium, opposed the takeover and was seeking to block the deal. The court is expected to deliver its decision in the coming weeks.</p>
<p>But a second spanner has been thrown into the works today, casting further doubts on Paladin Energy being able to get the deal over the line.</p>
<p>According to the release, Paladin has received a notice from the Minister of Innovation, Science and Industry.</p>
<p>That notice reveals that the Minister is ordering a national security review of the arrangement under section 25.3 of the Investment Canada Act (ICA). Accordingly, consideration of the arrangement under the ICA has been extended and remains ongoing.</p>
<p>Paladin Energy notes that it is considering the Minister's notice, exploring its available options, and evaluating the prospects of obtaining ICA clearance in respect of the arrangement.</p>
<h2>What is Fission Uranium?</h2>
<p>In June, Paladin Energy announced a deal to acquire Fission Uranium via an all-scrip deal with an implied equity value of C$1,140 million (A$1,220 million).</p>
<p>It is an award-winning Canadian uranium project developer and 100% owner of the Patterson Lake South uranium property. This is a proposed high-grade uranium mine and mill in Canada's Athabasca Basin region.</p>
<p>Paladin Energy's CEO, Ian Purdy, believes Fission Uranium would be a natural fit for its portfolio. He said:</p>
<blockquote>
<p>The acquisition of Fission, along with the successful restart of our Langer Heinrich Mine, is another step in our strategy to diversify and grow into a global uranium leader across the top uranium mining jurisdictions of Canada, Namibia and Australia. Fission is a natural fit for our portfolio with the shallow high-grade PLS project located in Canada's Athabasca Basin. The addition of PLS creates a leading Canadian development hub alongside Paladin's Michelin project, with exploration upside across all Canadian properties.</p>
</blockquote>
<p>Time will tell if the deal gets over the line.</p>

                                                                                            <content:encoded><![CDATA[<p>Much to the relief of its shareholders, the <strong>Paladin Energy Ltd</strong> (<a class="tickerized-link" href="https://www.fool.com.au/tickers/asx-pdn/">ASX: PDN</a>) share price is heading in the right direction at last on Tuesday.</p>
<p>In afternoon trade, the ASX 200 uranium share is up 5% to $8.79.</p>
<p>However, this doesn't change much for investors that bought in during the month of May. The uranium miner's shares remain down 51% since peaking at $17.98 that month.</p>
<h2>Why is this ASX 200 uranium share charging higher?</h2>
<p>The catalyst for today's move higher has been <a href="https://www.fool.com.au/tickers/asx-pdn/announcements/2024-09-10/6a1224695/fission-shareholders-vote-in-favour-of-paladin-acquisition/">news</a> that the shareholders of <strong>Fission Uranium Corp</strong>. (<a class="tickerized-link" href="https://www.fool.com.au/tickers/tsx-fcu/">TSX: FCU</a>) have narrowly approved Paladin Energy's takeover offer.</p>
<p>And when I say narrowly, I mean it!</p>
<p>According to the release, a total of 67.9% of votes cast at the shareholder meeting were in favour of the transaction. This is just above the required 66.67% threshold.</p>
<p>It seems that delaying the meeting from its original date bought the company just enough time to get the extra votes it required to get a deal over the line.</p>
<p>Though, that's not necessarily the end of the matter. Completion of the transaction remains subject to certain customary closing conditions. This includes Investment Canada Act clearance and receipt of a final order approving the transaction from the Supreme Court of British Columbia.</p>
<p>The latter is expected to take place on 12 September 2024, whereas Paladin continues to progress the Investment Canada Act clearance process.</p>
<p>It could be worth all the hard work, though. Management believes the combination of the two companies could be a bit of a game changer for shareholders.</p>
<p>Commenting on today's news, the ASX 200 uranium share's CEO, Ian Purdy, said:</p>
<blockquote>
<p>We fully expect that the combination of our companies will create significant value for all shareholders. Fission's Patterson Lake South project is a natural fit for Paladin, delivering medium term development potential to augment production from the recently restarted Langer Heinrich Mine.</p>
<p>With producing assets, a quality near term development project and a global portfolio of exploration assets, Paladin is well positioned to continue to deliver value for its shareholders from the structural demand shift for uranium driven by global decarbonisation.</p>
</blockquote>
<p>This sentiment was echoed by Fission Uranium's directors, who were very supportive of the transaction. Its CEO, Ross McElroy, previously commented:</p>
<blockquote>
<p>The combination of Fission and Paladin will create a world class diverse uranium producer, adding a class leading development project in a Tier 1 jurisdiction with the ability to expand production and cash flow profiles in the near term. With commercial production at Langer Heinrich and further development milestones at PLS, this opportunity will create a diverse pureplay uranium company with current production and a deep pipeline of near and mid-term assets available to investors.</p>
</blockquote>

<p>That's the view of analysts at Bell Potter, which have just upgraded the ASX <a href="https://www.fool.com.au/investing-education/asx-uranium-shares/">uranium</a> stock.</p>
<h2>What is the broker saying about this ASX uranium stock?</h2>
<p>Bell Potter notes that Paladin Energy has <a href="https://www.fool.com.au/2024/06/25/paladin-energy-shares-sink-on-1-25b-uranium-acquisition-news/">announced</a> an all-scrip deal to acquire <strong>Fission Uranium</strong> (<a class="tickerized-link" href="https://www.fool.com.au/tickers/tsx-fcu/">TSX: FCU</a>).</p>
<p>While this will mean ~30% dilution for shareholders, Bell Potter points out that they will gain exposure to one of the pre-eminent uranium assets in the Athabasca Basin for an attractive price.</p>
<p>And although the broker acknowledges that the acquisition won't add any new production in the immediate term, it won't be too far into the future until it does. In the meantime, its Langer Heinrich Mine will be able to fund developments. It said:</p>
<blockquote>
<p>Our largest drawback to PDN prior to the announcement was the lack of viable near term growth options in the portfolio. This drawback is effectively removed with the inclusion of FCU's Paterson Lakes (PLS) project, a high-grade unconformity uranium project in Saskatchewan Canada. PLS aims to commence production in FY29, averaging ~9Mlbspa over 10 years.</p>
<p>We believe this profile fits neatly with production from PDN's Langer Heinrich Mine (LHM), which will be in its 5th/6th year of operations and producing ~US$200-$220m in free-cash-flow providing potential funding options for PLS.</p>
</blockquote>
<p>In light of this, the broker sees scope for the ASX uranium stock to be producing 15Mlbs annually by the end of the decade. It adds:</p>
<blockquote>
<p>By the turn of the decade, PDN could be producing ~15Mlbs U3O8 annually (13.5Mlbs attributable) across two sites. The question is what is the new business worth? On a EV/ lb of production value, we would argue it's significantly more than the current implied combined market capitalization. On a DCF basis, it sits somewhere in between. Either way, we argue the new PDN is bigger and better.</p>
</blockquote>
<h2>Buy the dip</h2>
<p>Bell Potter notes that Paladin Energy's shares have sold off since last month, which it feels has created a buying opportunity.</p>
<p>As a result, it has upgraded the ASX uranium stock to a buy rating with a $16.10 price target. This implies potential upside of approximately 30% for investors over the next 12 months. The broker concludes:</p>
<blockquote>
<p>PDN has sold off since we moved to a Hold in May-24. We see this as a potential buying opportunity Irrespective of the transaction. We ascribe some additional value for the FCU transaction in this note and assume the deal goes through. Our recommendation moves to Buy, TP $16.10 (previously $15.70).</p>
</blockquote>

<p>At the time of writing, the <a href="https://www.fool.com.au/investing-education/asx-uranium-shares/">uranium</a> producer's shares are down over 7% to $12.26.</p>
<h2>Why are Paladin Energy shares sinking?</h2>
<p>Investors have been selling the company's shares today after it <a href="https://www.fool.com.au/tickers/asx-pdn/announcements/2024-06-24/6a1212801/paladin-energy-to-acquire-fission-uranium/">announced</a> an agreement to acquire <strong>Fission Uranium Corp.</strong> (<a class="tickerized-link" href="https://www.fool.com.au/tickers/tsx-fcu/">TSX: FCU</a>). It's possible that some investors think the company is overpaying and are hitting the sell button today.</p>
<p>According to the release, the two parties have entered into a definitive arrangement agreement that will see Paladin Energy acquire 100% of Fission Uranium for 0.1076 shares for each Fission share.</p>
<p>The offer consideration represents an implied value of C$1.30 (A$1.43) per share. This equates to a 25.8% premium to its last close price and values the Canadian uranium miner at C$1.14 billion (A$1.25 billion).</p>
<p>Following the unanimous recommendation by its special committee of independent directors, Fission Uranium's board of directors recommends that its shareholders vote in favour of the transaction.</p>
<p>Cantor Fitzgerald has provided an opinion to the special committee to the effect that the offer consideration is fair, from a financial point of view to the Fission shareholders.</p>
<h2>Why is it acquiring Fission Uranium?</h2>
<p>Paladin Energy's CEO, Ian Purdy, believes that the acquisition is a natural fit for its portfolio. He said:</p>
<blockquote>

<p>Purdy notes that the combination of the two companies will create one of the world's largest pure-play uranium companies. He adds:</p>

<p>Both sets of shareholders are expected to benefit from the increased scale of the enlarged company, with a combined Mineral Resource representing one of the largest amongst pure-play uranium companies globally and a substantially increased international capital markets exposure. The Transaction also de-risks the development of PLS for Fission shareholders, underpinned by LHM production and Paladin's leading offtake contract book. Paladin will bring the required investment to PLS in order to advance it towards production.</p>
</blockquote>
<p>The transaction is targeted to close in the September 2024 quarter. This is subject to satisfaction of all conditions under the agreement.</p>

<h2>ASX 200 expected to rebound</h2>
<p>The Australian share market is expected to rebound on Tuesday despite a mixed start to the week on Wall Street. According to the latest SPI futures, the ASX 200 is poised to open the day 42 points or 0.55% higher. On Wall Street, the Dow Jones was up 0.7%, but the S&amp;P 500 fell 0.3% and the Nasdaq dropped 1.1%.</p>
<h2>Paladin Energy acquisition</h2>
<p>The <strong>Paladin Energy Ltd </strong>(<a class="tickerized-link" href="https://www.fool.com.au/tickers/asx-pdn/">ASX: PDN</a>) share price will be on watch today after the uranium miner announced a major acquisition. Paladin Energy has signed an agreement to acquire <strong>Fission Uranium Corp.</strong> (<a class="tickerized-link" href="https://www.fool.com.au/tickers/tsx-fcu/">TSX: FCU</a>) through an all-scrip deal at 0.1076 shares per Fission share. This values the Canadian uranium miner at C$1.140 billion (A$1.25 billion). The transaction is targeted to close in the September 2024 quarter.</p>
<h2>Oil prices storm higher</h2>
<p>It could be a good session for ASX 200 energy shares <strong>Santos Ltd</strong> (<a class="tickerized-link" href="https://www.fool.com.au/tickers/asx-sto/">ASX: STO</a>) and <strong>Karoon Energy Ltd </strong>(<a class="tickerized-link" href="https://www.fool.com.au/tickers/asx-kar/">ASX: KAR</a>) after oil prices stormed higher overnight. <a href="https://www.bloomberg.com/energy">According to Bloomberg</a>, the WTI crude oil price is up 1.2% to US$81.68 a barrel and the Brent crude oil price is up 1% to US$86.06 a barrel. Oil prices have been rising thanks to optimism that summer fuel demand will draw down inventories and tighten the market.</p>
<h2>Telstra named as a buy</h2>
<p><strong>Telstra Group Ltd </strong>(<a class="tickerized-link" href="https://www.fool.com.au/tickers/asx-tls/">ASX: TLS</a>) shares remain good value according to analysts at Bell Potter. This morning, the broker has reaffirmed its buy rating with a trimmed price target of $4.20. The broker believes the telco giant's shares are undervalued based on the discount they are trading at to other large cap peers. It said: "We view some discount as appropriate but in our view this looks excessive, particularly given the forecast mid to high single digit EPS growth over the next few years, strong market position and the potential for some or all of InfraCo to be sold in the medium term."</p>
<h2>Gold price rises</h2>
<p>ASX 200 gold miners <strong>Evolution Mining Ltd </strong>(<a class="tickerized-link" href="https://www.fool.com.au/tickers/asx-evn/">ASX: EVN</a>) and <strong>Regis Resources Limited </strong>(<a class="tickerized-link" href="https://www.fool.com.au/tickers/asx-rrl/">ASX: RRL</a>) could have a good session on Tuesday after the gold price pushed higher overnight. According to CNBC, the <a href="https://www.cnbc.com/quotes/?symbol=@GC.1">spot gold price</a> is up 0.6% to US$2,345.9 an ounce. A softer US dollar boosted the precious metal.</p>
